4. Client Obligations
Clients agree to:
- Provide clear, accurate, and complete project requirements and specifications
- Respond to queries and provide feedback in a timely manner
- Make payments according to the agreed schedule and terms
- Provide necessary access to systems, data, and resources required for project completion
- Ensure all provided content, data, and materials are legally owned or licensed
- Maintain confidentiality of any proprietary information shared by SocioOn
5. Intellectual Property Rights
Intellectual property ownership is clearly defined as follows:
- Custom-developed software solutions and deliverables become the property of the client upon full payment completion
- SocioOn retains ownership of general methodologies, frameworks, tools, and techniques developed prior to or independent of client projects
- Third-party software licenses, libraries, and tools remain the property of their respective owners
- SocioOn may showcase completed projects in portfolios and marketing materials with client consent
- Any pre-existing intellectual property remains with its original owner
6. Payment Terms and Billing
Payment terms are established in individual project agreements and service contracts:
- Payment schedules are typically based on project milestones or monthly billing cycles
- Invoices are due within 30 days of receipt unless otherwise specified
- Late payments may incur additional charges as specified in the agreement
- Payment disputes must be raised within 30 days of invoice date
- Services may be suspended for overdue payments exceeding 30 days
- All fees are exclusive of applicable taxes, which are the client's responsibility
7. Confidentiality and Non-Disclosure
SocioOn maintains strict confidentiality standards:
- All client information, data, and business processes are kept strictly confidential
- Confidential information is used solely for the purpose of providing services
- Access to client data is limited to authorized personnel only
- Confidentiality obligations survive the termination of any agreement
- Separate NDAs may be executed for highly sensitive projects
8. Limitation of Liability
SocioOn's liability is limited as follows:
- Total liability is limited to the amount paid for the specific service in question
- We are not liable for indirect, incidental, consequential, or punitive damages
- Liability excludes loss of profits, data, or business interruption
- Force majeure events are excluded from liability
- Liability limitations apply to the maximum extent permitted by law
9. Warranties and Support
Warranty and support terms include:
- Standard warranty periods apply to bug fixes and technical issues arising from our development work
- Support terms are specified in individual project agreements
- Warranty does not cover issues arising from client modifications or third-party integrations
- Extended support and maintenance agreements are available separately
10. Termination
Either party may terminate agreements under specified conditions:
- Termination requires written notice as specified in the agreement
- Payment for completed work and deliverables is due upon termination
- Delivery of completed work assets will be provided upon final payment
- Confidentiality obligations survive termination
- Termination for cause may result in immediate cessation of services
11. Governing Law and Disputes
These terms are governed by applicable laws and dispute resolution procedures:
- Governed by the laws of the jurisdiction where SocioOn operates
- Disputes will be resolved through negotiation, mediation, or arbitration
- Exclusive jurisdiction lies with the appropriate courts
- Arbitration procedures follow established commercial arbitration rules
12. Changes to Terms
SocioOn reserves the right to modify these terms with appropriate notice. Changes will be posted on our website and communicated to active clients.
